Confidentiality Agreement

This Confidentiality Agreement governs your use and access to certain confidential and proprietary information

related to the business (the “Business”) described in the listing (the “Listing”) identified below:

  1. You agree to use the Confidential Information (as defined below) solely for the purpose of evaluating an acquisition of the Business.
  2. You agree not to disclose, publish or otherwise reveal any of the Confidential Information to any other parties, agents, representatives or employees whatsoever without the prior written consent of the seller of the Business (the “Seller”), except that you may disclose the Confidential Information to your legal counsel, accountant or lender, so long as you remain responsible for any violation of confidentiality by those persons.
  3. You agree that all communications with the Business shall be conducted solely through NewLeaf Business Brokerage, LLC and any other broker that may be co-brokering the transaction (collectively, the‘Broker”).  You agree not to approach or contact Seller, its principals, employees, officials, agents, customers, suppliers, and/or competitors or visit the physical business location unless specifically authorized in advance and in writing or email by Broker.
  4. As used in this Confidentiality Agreement, “Confidential Information” includes without limitation all information relating to non-public, confidential and proprietary operations, properties, personnel, financial information, materials, products, technology, computer programs, manuals, business plans, software, marketing plans, and other information related to the Business, regardless of whether it is disclosed orally or in writing, and regardless of the source.
  5. All Confidential Information is the property of Seller and must be returned or destroyed immediately upon written request by Broker or Seller.
  6. You must not rely upon any information, written or oral, furnished by Broker, and you must independently verify any information Seller or Broker discloses to you.  Broker has not verified in any way any of the information that Seller has provided to it, and as a result Broker makes no representations or warranties whatsoever, expressed or implied, to you with respect to the Business and Confidential Information. Similarly, the Seller makes no representations or warranties as to the Confidential information, and Seller will only make the representations and warranties that are in a signed purchase agreement between you and Seller, if any, and those representations and warranties will be subject to the terms of that agreement. 
  7. You acknowledge that Seller has the right to protect the Confidential Information and to obtain the benefits under this Confidentiality Agreement. Accordingly, and for such limited purposes only, Seller shall be considered an intended third party beneficiary hereunder. The fact that Seller is not a signatory to this Confidentiality Agreement shall not prohibit, alter or limit Seller’s or Broker’s right to enforce the terms hereof.
  8. You understand and agree that Broker is a transaction broker as defined in North Carolina state law. As such, Broker is not a single agent or representative of either Seller or you.
  9. Either party’s failure to insist in any one or more instances upon strict performance by the other party of any of the terms of this Confidentiality Agreement shall not be construed as a waiver of any continuing or subsequent failure to perform or delay in performance of any term hereof.
  10. This Confidentiality Agreement shall be governed by the laws and construed in accordance with the laws of the State of North Carolina, and the parties consent and agree that Mecklenburg County, North Carolina, shall be the sole and exclusive venue for all proceedings relating to this Agreement and/or its subject matter, including without limitation the enforcement hereof. You hereby waive all objections to establishing venue elsewhere. You agree that in the event of any breach or threatened breach of the confidentiality provisions contained herein, Seller or Broker may obtain, in addition to any other legal remedies which may be available, such equitable relief as may be necessary to protect Broker and/or Seller against any such breach or threatened breach.
  11. In the event of any dispute or litigation arising out of or relating to this Confidentiality Agreement, the prevailing party shall be entitled to an award of its reasonable attorneys’ fees, costs, and expenses incurred in both the trial court and appellate levels.
  12. You acknowledge that you have received a copy of this Confidentiality Agreement, and a fax or electronically transmitted copy with signatures shall be considered as an original.
  13. Any Broker that co-brokers a potential sale transaction involving Seller shall be considered an intended third party beneficiary hereunder. The fact that such Broker is not a signatory to this Confidentiality Agreement shall not prohibit, alter or limit such Broker’s right to enforce the terms hereof.
